1. Overview

The SMLabs Affiliate Program (the "Program") allows approved individuals ("Affiliates") to earn commissions and rewards by referring customers to purchase products from SMLabs (smlabshq.com, the "Company"). By applying to, enrolling in, or participating in the Program, the Affiliate agrees to these Affiliate Program Terms (the "Terms").

2. Definitions

• "Affiliate Code": a unique discount code issued to an Affiliate for distribution to prospective customers.
• "Referred Sale": a completed, paid order placed on smlabshq.com in which the customer applied the Affiliate's Affiliate Code at checkout.
• "Vial": one unit of a Company product, regardless of product type, size, or price, counted for purposes of the payout threshold described in Section 5.
• "Commission": the monetary value earned by an Affiliate on a Referred Sale, calculated as described in Section 4.

3. Enrollment and Eligibility

• Affiliates must be at least 21 years of age and legally permitted to enter into this agreement.
• The Company may approve, deny, or revoke Affiliate status at its sole discretion, including for applicants or Affiliates whose marketing methods, audience, or conduct the Company determines are inconsistent with these Terms or with the Company's Research Use Only (RUO) positioning.
• Each Affiliate will be issued one unique Affiliate Code. Codes are non-transferable and may not be shared, sold, sublicensed, or issued to sub-affiliates without the Company's prior written consent.

4. Discount Code and Commission Structure

• Customer discount: Each Affiliate Code provides the referred customer a 10% discount on their order at checkout.
• Affiliate commission: The Affiliate earns a 10% commission on the total sale price (post-discount, pre-shipping and pre-tax, unless otherwise stated) of each Referred Sale.
• Commissions are calculated only on completed, paid, and non-refunded orders. If a Referred Sale is later refunded, cancelled, or charged back, the associated Commission and any Vial credit toward the payout threshold will be reversed and deducted from the Affiliate's balance.
• The Company reserves the right to adjust the discount percentage, commission percentage, or payout structure prospectively upon notice to Affiliates; changes will not apply retroactively to Referred Sales completed before the change's effective date.

5. Payout Threshold and Reward Options

• Payout trigger: Commissions are paid out once an Affiliate's Referred Sales reach a cumulative total of 10 Vials sold since the Affiliate's last payout.
• Reward choice: Upon reaching the 10-Vial threshold, the Affiliate may choose either: (a) a cash payout equal to the accumulated Commission balance for those 10 Vials, or (b) one (1) free Vial of any product of the Affiliate's choice, subject to availability and the Company's then-current retail pricing and product list.
• If the Affiliate chooses the free-Vial option and the retail value of the chosen product exceeds the accumulated Commission balance, the Company may, at its discretion, require the Affiliate to pay the difference, substitute a product of equal or lesser value, or apply the Commission balance toward the purchase.
• Affiliates must select their reward option within 30 days of being notified that they have reached the threshold. If no selection is made within that period, the Company will default to issuing a cash payout.
• Partial thresholds (fewer than 10 Vials) do not expire and will carry forward and accumulate toward the next payout, unless the Affiliate's account is terminated under Section 8.

6. Payment Terms

• Cash payouts will be issued via Zelle to the payment details provided by the Affiliate. The Affiliate is responsible for providing accurate and up-to-date payment information.
• The Company will process payouts within 2-5 business days of the Affiliate's reward selection (or the default under Section 5.4).
• The Company may withhold or delay payout where it reasonably suspects fraud, abuse, self-referral, or a violation of these Terms, pending investigation.

7. Affiliate Conduct and Compliance Requirements

• All Company products are sold strictly for research use only and are not intended for human or animal consumption. Affiliates may not make, imply, or repeat any health, medical, therapeutic, weight-loss, performance, anti-aging, or wellness claims about Company products in any marketing, communication, or referral activity.
• Affiliates may not provide dosage information, usage protocols, cycles, personal-use testimonials, or any content suggesting human or animal use of Company products.
• Affiliates may not target, market to, or knowingly refer individuals under 21 years of age.
• Affiliates may not engage in spam, unsolicited bulk messaging, paid search bidding on the Company's branded trademarks, misleading advertising, or impersonation of the Company.
• Affiliates are permitted to use their own Affiliate Code on their own purchases, receiving both the 10% customer discount and the standard 10% Commission on that order, which counts toward the Vial payout threshold in Section 5. The Company reserves the right to limit, monitor, or place reasonable volume limits on self-use of an Affiliate Code if it detects patterns inconsistent with genuine purchasing activity.
• Affiliates are independent participants and may not represent themselves as employees, agents, or official representatives of the Company, and may not make representations or promises on the Company's behalf.
• The Company may require Affiliates to include a research-use-only disclaimer alongside any public promotion of their Affiliate Code.

8. Term and Termination

• This Program is ongoing and either party may terminate participation at any time, for any reason, with or without notice.
• Upon termination, any accumulated partial-Vial balance below the 10-Vial threshold is forfeited unless the Company agrees otherwise in writing. Commissions already earned and vested from completed, non-refunded, non-fraudulent Referred Sales prior to termination remain payable.
• The Company may immediately terminate an Affiliate and void unpaid Commissions for violation of Section 7, fraud, or abuse of the Program.

9. Relationship of the Parties

Affiliates participate as independent contractors, not as employees, partners, joint venturers, or agents of the Company. Nothing in these Terms creates an employment, partnership, or agency relationship. Affiliates are solely responsible for determining and remitting any taxes owed on Commissions or product rewards received, including providing any tax documentation (e.g., Form W-9/1099 in the U.S.) reasonably requested by the Company.

10. Disclaimers and Limitation of Liability

The Program is provided "as is." To the fullest extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages arising from Affiliate participation. The Company's total liability to any Affiliate under these Terms will not exceed the total unpaid, vested Commissions owed to that Affiliate at the time the claim arises.

11. Changes to These Terms

The Company may update these Terms at any time by posting a revised version. Continued participation in the Program after changes are posted constitutes acceptance of the revised Terms. Material changes affecting earned, unpaid balances will not apply retroactively.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
